Note to client: One of the most difficult aspects to successfully growing a business is making sure you keep your proprietary information and intellectual property protected, while also balancing your culture, authenticity, and commitment to clients. Sundey Gardner strives to provide the greatest possible experience for all her clients and the following agreement outlines some parameters and terms of the Program to fully experience and gain the most benefit from the Program, you agree to the following:

Section 1.  Program Guidelines, Payment Terms 

Program: Business Foundations (BF) (“Program”)Duration: 16 WeeksTotal Program Cost: $5000

Payment Terms: 

Investment: You agree that you are financially willing to invest in this Program by choice. For those who opted for the Installment Plan, installments are automatically deducted every 30 days, according to the day you enrolled. If paying by debit or credit card, you give us permission to automatically charge your card as payment for your Program and for future installments, and you will receive an electronic receipt. You hereby authorize Sundey Gardner to collect the Program cost outlined above in full upon enrollment in the Program. 

Missed Payment: Installment plans are automatically charged on the same day of each month. If payment fails, you will receive notice via email and will have a 5-day grace period to make the payment. Otherwise, your Program will be put on hold until payments have been updated. 

There is a NO REFUNDS policy. By acknowledging this Agreement, you understand that no one has represented to you that refunds are available. Even if you cannot participate for any reason, you will continue to be billed according to your Installment schedule of this Agreement through the end. Sundey Gardner considers this policy a material inducement to entering into this Agreement, and would not have done so unless this No Refunds policy were included. If you initiate a chargeback, Sundey Gardner may issue an additional $250 fee to you.

Payments are due in full on the due date.

If payment fails, Client must remedy this situation and provide a valid form of payment within seven (7) business days or Client may be removed from the Program

You hereby consent to having these charges automatically charged to your credit or debit card on the due date. Sundey Gardner is authorized to collect the payment due (in full) by collecting on any/all credit or debit cards that are provided to Sundey Gardner by the client.The client may determine which payment method is preferred and the client is responsible for informing Sundey Gardner of this preference at least two (2) business days prior to the payment due date since Sundey Gardner's payment system may automatically charge one of the cards on file that may not be the client’s preferred payment method.

Section 2. Participation Terms 

We are committed to providing all Program participants with a positive experience. Thus, Sundey Gardner may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs, live, recorded, social media-based or digital without refund or forgiveness of remaining payments due if you:

Become disruptive or difficult to work withFail to follow the Program guidelinesImpair the participation of our employees, contractors, clients, instructors or participants in any of our programs

ExpectationsDuring the Program, you can expect that I (Sundey Gardner) will:

Come preparedBe fully present and devote my full attention to you during our time togetherServe as your coach, strategist, and mentorCare about your goals and successesStretch you outside of your comfort zone when necessaryOffer support, encouragement, feedback, accountability, and guidance

I expect that you will:

Show up on time and be present during our time without distractionsGive 100% of your effort and fully commit to the ProgramUse your best efforts to implement the strategies we discuss - dreams don’t work unless you doComplete all action steps and homework Promptly provide payment for the ProgramBe open to new ideas and mindset shifts that may be different from your ownBe willing to dig deeper and stretch yourself and your business to new possibilitiesAsk any questions you may have as they arise

Contacting Sundey: I like to be as attentive to my clients as I possibly can. If you need my support between our weekly calls, you will have unlimited access to me via our Facebook Group for the duration of the Program. You are welcome to post anytime there. I check my Facebook Notifications twice a day, once in the morning and once in the evening. While it is very likely that you will receive a response from me a lot sooner, I will do my best to respond within 24 hours on weekdays. On weekends and holidays, I will do my best to reply to you by the next business day. 

Section 3. Non-Solicitation 

You agree with and for the benefit of Sundey Gardner that, during the Program and for a period of one (1) year after separation from the Program (whether such separation results from early termination or successful completion), you will not (except with the prior written consent of Sundey Gardner, directly or indirectly, either as an individual or as a partner or joint venture or as an employee, sales representative, principal, consultant, agent, shareholder, officer or director, for any person, firm, association, organization syndicate, company or corporation, or in any other manner whatsoever, contact, solicit, or attempt to solicit any of the persons, clients, employees, companies or institutions with whom you had dealings through the Program. (a) For the purpose or intent of competing with Sundey Gardner to provide the same or similar services which Sundey Gardner is currently providing to any of these individuals or companies(b) To leave the employ or engagement of Sundey Gardner(c) To sell or offer for sale or solicit orders for the sale of any products or servicesNote: If there is natural synergy to sell your products or services to any of the persons, clients, employees, companies or institutions with whom you had dealings through the Program- that is fine. However, we do not tolerate blatant pitching or soliciting.  

Section 4. Confidential Information 

We respect your privacy and must insist that you respect the privacy of fellow Program participants. We respect your confidential and proprietary information, ideas, plans and trade secrets (collectively, "Confidential Information") and must insist that you respect the same rights of fellow Program participants and of Sundey Gardner. Thus, you agree:(a) Not to infringe upon any Program participant’s or Sundey Gardner's copyrights, patents, trademarks, trade secrets or other intellectual property rights(b) That any Confidential Information shared by Program participants or any representative of Sundey Gardner is confidential and proprietary, and any such Confidential Information belongs solely and exclusively to the party who discloses such information(c) Not to disclose such information to any other person or use it in any manner other than in discussion with other Program participants during Program sessions(d) That all materials and information provided to you by Sundey Gardner are confidential and proprietary intellectual property which belongs solely and exclusively to Sundey Gardner, and may only be used by you as authorized in writing by Sundey Gardner  (e) Reproduction, distribution, or sale of these materials by anyone but Sundey Gardner is strictly prohibited(f) That if you violate, or display any likelihood of violating, any of the sections contained in this paragraph or referenced in this Agreement, Sundey Gardner and/or other Program participants will be entitled to injunctive relief against you for any such violations A breach of any of the promises or agreements contained herein will result in irreparable and continuing damage to Sundey Gardner for which there will be no adequate remedy at law, and Sundey Gardner shall be entitled to injunctive relief and/or a decree for specific performance, and such other relief as may be proper (including monetary damages if appropriate). While you are free to discuss your individual results from this Program or any other Sundey Gardner program or training, you must keep the experiences and statements, oral or written, of all other participants in the strictest of confidence. 

Section 5. Privacy Policy and Terms of Service 

You agree that your participation is subject to Sundey Gardner's Privacy Policy, Terms of Service and Disclaimer (as found on the websites below) and that you agree to adhere to all terms as outlined on these websites. Section 6. Program Content

I have used care in preparing the information provided to you but this Program and my Program materials are being provided as self-help tools for your own use and for informational and educational purposes only. There are many factors that influence results, so no guarantees can be made as to the results you will experience through this Program you agree that as a High-Impact Coach I am not responsible for your physical, mental, emotional, and spiritual health, nor for your financial earnings or losses, nor for any other personal or business results or outcomes that you may experience through this Program. Nothing related to this Program is intended to be considered medical mental health, legal, financial, religious advice in any way. (a) You hereby consent to the use of your name, photograph, likeness, voice, testimonial and biographical material, in whole or in part, for publication or reproduction in any medium, including but not limited to television, radio, print media and the internet, among others, for any purpose, including but not limited to public relations, education, advertising, marketing, training and research(b) Your consent is granted to Sundey Gardner and extends to such use without restriction or limitation as to time or geographic boundary (c) You hereby waive all rights you may have to any claims or demands for payment or royalties in connection with the use of any of such materials, regardless of the purpose of such use or publication, and regardless of whether a fee is charged or collected by Sundey Gardner for any product and/or service in connection with such use and publication(d) You also waive any right to inspect, review or approve any photograph, recording, or other written material at any time, and waive the right to approve the use and medium of publication determined by Sundey Gardner (e) You understand that Sundey Gardner owns all rights in and to any such photograph, recording or testimonial, including any copyright and/or trademark relating to such use

Section 8. Terms of Sale 

(a) You agree that you are financially willing to invest in this Program by choice. If you initiate a chargeback, Sundey Gardner may issue an additional $250 fee to you. (d) You agree that you have fully consented to any payment to Sundey Gardner and that any/all payments are valid and that you have consented to the purchase of the Program as outlined in Section 1. (e) You agree to waive any/all rights to charge-back, dispute, or make claims (“disputes”) against any payment made to Sundey Gardner as being fraudulent, purchased in error, services not delivered to you, product not received, or any other dispute which claims that any payment is unlawful(f) You agree to not initiate any disputes or claims through your credit card company, bank, lending institution, or any other payment provider since you have fully consented to all charges outlined in Section 1 and thus you agree that you may not dispute any payments made to Sundey Gardner for the Program.

Section 9. Termination Policy

Should I, as the Coach choose to terminate this Agreement at any time, I will provide you with 72 hours written notice via email. Any outstanding payments for services that have already been provided to date are due immediately and payable. No refunds will be provided. Should you as a Client choose to terminate the agreement at any time you are to (1) provide 72 hours written notice via email (2) remain financially responsible for the full cost of the Program, (3) immediately make payments that are outstanding and due, and (4) understand that no refunds are provided. All terms of this Agreement, including all Investment, Refund Policy, and Intellectual Property terms will still apply even after termination by either parties.

Section10: Intellectual Property Rights:

I retain all ownership and intellectual property rights to the Program content and materials that may be provided to you including all copyrights and trademarks belonging to me. The Program content and materials being provided to you are for your INDIVIDUAL use only and with a single-user license which means that you are not allowed or are authorized to share, copy, sell, post, distribute, reproduce, duplicate, trade, resell, exploit, or otherwise disseminate any portion of the Program or Program materials electronically or otherwise, for business or commercial use, or in any other way that earns you money without my prior written consent.

Section11: Personal Responsibility and Assumption of Risk

You acknowledge that you take full responsibility for yourself and all decisions made before, during and after your Program. You accept full responsibility for your choices, actions and results before, during and after this Program and you knowingly assume all of the risks of the Program related to your use, misuse or non-use of the Program or any of the Program materials. You understand and agree that you are solely responsible for your results.
